Terms of Service

We design, build, deploy, and maintain AI-powered solutions for businesses, which may include AI agents, chatbots, workflow automations, CRM integrations, and related consulting. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate written proposal, quotation, or agreement ("Statement of Work"). In case of conflict, the Statement of Work prevails over these Terms for that engagement.

You agree to:

• Provide accurate, complete information and timely access to the systems, accounts, and data required to deliver the Services
• Ensure you have the legal right to share any data, credentials, or third-party accounts you provide to us
• Use the delivered solutions in compliance with applicable laws, including UAE data protection and telecommunications regulations (e.g., obtaining required consents before messaging your customers)
• Review and approve deliverables within the agreed review periods

Delays caused by missing access, approvals, or information may extend timelines without liability on our part.

• Fees are stated in the applicable Statement of Work and are quoted in AED unless otherwise agreed.
• Unless otherwise agreed, projects require an upfront payment before work begins, with the balance due per the agreed milestones.
• Recurring services (maintenance, hosting, subscriptions) are billed in advance and renew automatically until cancelled with 30 days' written notice.
• Third-party costs (AI provider usage/API fees, platform subscriptions, phone numbers, hosting) are the client's responsibility unless expressly included in the quoted fee.
• Late payments may result in suspension of the Services. Fees paid are non-refundable except as expressly stated in the Statement of Work.

The Services depend on third-party platforms and AI model providers (e.g., LLM APIs, CRM systems, messaging platforms). You acknowledge that:

• These platforms are governed by their own terms, which you may need to accept directly
• We are not responsible for outages, pricing changes, feature removals, policy changes, or account actions taken by third-party providers
• Changes by third-party providers that materially affect a delivered solution may require additional paid work to restore or adapt functionality

AI systems generate outputs based on probabilistic models and may produce inaccurate, incomplete, or unexpected results.

• We do not warrant that AI-generated outputs will be accurate, error-free, or fit for any specific purpose.
• You are responsible for human review of AI outputs before relying on them, especially for legal, financial, medical, or regulatory decisions.
• Nothing produced by the Services constitutes legal, financial, tax, or professional advice.
• You remain responsible for how the deployed solution is used and for the content your business communicates through it.

• Upon full payment, you receive ownership of (or a perpetual license to use, as specified in the Statement of Work) the custom deliverables built specifically for your project.
• We retain ownership of our pre-existing tools, frameworks, templates, know-how, and any generic components not built exclusively for you, and may reuse them for other clients.
• Third-party software, models, and platforms remain the property of their respective owners.
• We may reference the project and your business name in our portfolio and marketing unless you request otherwise in writing.

Each party will keep the other party's non-public business information confidential and use it only for purposes of the engagement. This obligation survives the end of the engagement. It does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

We process personal data in accordance with our Privacy Policy and UAE Federal Decree-Law No. 45 of 2021 (PDPL). Where we process personal data on your behalf, we act on your documented instructions, and you warrant that you have the legal basis to provide such data.

• The Services are provided with reasonable skill and care. Except as expressly stated, the Services and deliverables are provided "as is."
• We are not liable for indirect, incidental, or consequential damages, loss of profits, loss of data, or business interruption.
• Our total aggregate liability arising from any engagement is limited to the fees actually paid by you for that engagement in the 3 months preceding the claim.
• Nothing in these Terms excludes liability that cannot be excluded under UAE law.

• Either party may terminate an engagement per the terms of the applicable Statement of Work.
• We may suspend or terminate the Services immediately if you breach these Terms, fail to pay, or use the Services unlawfully.
• Upon termination, you must pay for all work performed up to the termination date. Clauses on IP, confidentiality, liability, and payment survive termination.

You may not use the site or the Services to develop or operate systems that are unlawful, deceptive, harassing, or that violate the rights of others, including systems designed for spam, fraud, or unauthorized data collection.

We may update these Terms from time to time. Updated Terms apply from the "Last updated" date and govern future use of the site and new engagements.

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, unless a different forum is agreed in the Statement of Work.
